Remarks

I. Shareholders’ proposal rights: Pursuant to Article 172-1 of the Company Act, shareholders who hold 1% or more of the Company’s total issued shares shall have the right to make written proposals to the Shareholders’ Meeting. Nevertheless, each shareholder can only make one proposal containing no more than 300 words.

(1) Proposal submission period: April 6, 2020 to April 16, 2020

(2) Venue for proposal submission: Project Management Department, Financial Management HeadOffice, Naopao Resins Chemical Group (Address: No. 12, Nanhai-pu, Nanhai Li, Xigang Dist.,Tainan City)

(3) Way to submit proposals: In written format.

II. Shareholders’ nomination rights: Pursuant to Article 192-1 of the Company Act, shareholders who hold 1% or more of the Company’s total issued shares shall have the right to submit a list of nominees to the Shareholders’ Meeting. Nevertheless, the numbers of nominees will not be allowed to exceed the numbers of directors (including independent directors) to be elected.

(1) Proposal submission period: April 1, 2019 to April 11, 2019

(2) Venue for nominees list submission: Project Management Department, Financial Management Head Office, Naopao Resins Chemical Group (Address: No. 12, Nanhai-pu, Nanhai Li, Xigang Dist., Tainan City)

(3) Numbers of directors to be elected: Seven directors (including three independent directors).

III. Shareholders may exercise voting rights electronically for this Shareholders’ Meeting. Please see below for relevant details:
